Membership Code of Conduct


MEMBERSHIP CODE OF PROFESSIONAL AND ETHICAL CONDUCT

  1. Promote affirmative action through individual and organizational efforts.
  2. Encourage the personal development and growth of the individual.
  3. Provide challenges which help individuals to reach their potential.
  4. Maintain the integrity of the educational process as the primary focus of Cooperative Education & Internships.
  5. Recognize that the employing organization assumes the primary role as educator while supervising students.
  6. Provide individual guidance to Cooperative Education & Internship students.
  7. Contribute to the growth of Cooperative Education & Internships by providing direction and leadership through MCEIA.
  8. Stay current in “state of the art” Cooperative Education & Internships through the sharing of resources and information with other professionals.
  9. Promote and improve public awareness and understanding of Cooperative Education & Internships.
  10. Encourage growth and enrichment of MCEIA and its members.
  11. Members must strive to maintain integrity, competence and a high degree of fairness concerning all matters pertaining to the Association.
  12. Board members owe a fiduciary duty of good faith and full disclosure to the Association and in all matters wherein the Board represents the interests of the Association.
  13. The professional judgment of Board members in matters pertaining to the Association shall be exercised solely for the benefit of the Association and free of compromising influences and loyalties. Neither their personal interests, the interests of other Board members nor the desires of third persons should be permitted to dilute members’ duties to the Association.
  14. All Board members shall avoid conflicts of interest and shall disclose any possible conflict to the Board. Board members voting on business matters that would cause a conflict of interest or the appearance of a conflict of interest or the appearance of impropriety shall recuse themselves from voting.
    1. If a Board member refuses to recuse himself or herself in this regard, or if there is any question as to the appropriateness of a recusal, the Board shall vote on the recusal and the vote of a majority of those present shall be the deciding factor.
      1. Examples of questionable conflicts of interest or impropriety that should cause a Board member to recuse himself or herself include but are not limited to:
        1. A relationship of a personal nature (such as a spouse or family member) with a person or entity that is nominated for a Board position, an award, grant, or scholarship that is to be voted on by the Board.
        2. A relationship of a personal nature (such as a business ownership or equitable interest) with a business or entity that is being considered to conduct business or become affiliated with the Association and must be voted on by the Board.
        3. A relationship of a personal nature with a person or entity that the Association has an ethical issue with and the matter must be voted on by the Board.
  15. All Board members shall avoid even the appearance of impropriety in matters concerning the Association.
